Sr. Counsel, Corporate

GAQ227R39 Databricks is looking for a talented and experienced Senior Corporate Counsel to join our expanding Legal team. This position will report to our Senior Managing Counsel, Corporate, and is a unique opportunity to advise on and drive a broad range of corporate matters, including governance, M&A and venture transactions, public company readiness and securities law compliance and subsidiary management, and to provide business-focused legal advice to stakeholders throughout Databricks on a daily basis. You will be agile, highly organized and have the skills, drive and flexibility to support and accelerate a leading technology company, addressing novel legal issues and organizational challenges. A successful candidate will be a resourceful self-starter, comfortable working in a fast-paced and dynamic environment and excellent at building strong relationships. Responsibilities Support all phases of corporate transactions, including M&A, ventures and equity and capital raising transactions Support public company readiness and securities law compliance initiatives Develop, implement and continuously improve disclosure controls and procedures in coordination with finance, investor relations and other internal stakeholders Prepare and review board and committee materials and advise on board-related governance matters Prepare governance and compliance policies and procedures, including updates to such policies and procedures Review and advise internal stakeholders with respect to investor presentations, offering materials, public announcements, press releases, and other corporate communications Support ESG and sustainability reporting initiatives as needed, with a focus on corporate-governance, disclosure and public-company reporting considerations Advise on antitrust and competition law aspects of M&A, as well as provide global antitrust and competition counseling.
